Terms of Service

1. Introduction

Welcome to Umbrellx (“we,” “us,” or “the Service”), a social media platform currently in a closed-test state, accessible only by invitation or access code. By using or accessing the Service, you agree to these Terms of Service (“Terms”).

2. Test-Phase & Access Codes

  • Closed Beta. Umbrellx is in a private, pre-release test state.
  • Access Codes. Registration and use require a valid access code. You agree not to share your code with unauthorized persons. We may revoke codes at any time.

3. Eligibility

  • Age. You must be at least 13 years old to register. If we learn you are under 13, your account will be terminated.
  • Jurisdiction. These Terms are governed by the laws of the State of Colorado, USA.

4. Account Registration & Security

  • You must provide a valid email and choose a password.
  • You are responsible for safeguarding your credentials and any activity under your account.

5. User Content & Conduct

  • Your Content. You retain ownership of anything you post (“User Content”), but grant Umbrellx a worldwide, royalty-free license to store, reproduce, and display it as needed to operate the Service.
  • Prohibited Content. You agree not to post illegal, infringing, harassing, or hateful content. Violation may lead to content removal or account termination.
  • Upcoming NSFW Filter. We plan to deploy an AI-driven NSFW detector that will restrict NSFW content from users under 18 or those who opt out. (Preference default: OFF.)

6. AI-Powered Analysis

  • Future Features. We intend to incorporate AI analysis of images and videos to improve recommendations and detect prohibited content. By posting, you consent to automated analysis.
  • No Data Selling. We do not sell personal data to third parties.

7. Third-Party Services & Storage

  • Authentication & Database. We use Supabase for user authentication and data storage.
  • Images. Stored on Supabase’s object storage.
  • Videos. Hosted via Mux.

8. Termination

We may suspend or terminate your access at any time, with or without cause, and without notice. Upon termination, your right to use the Service ends and we may delete your content.

9. Disclaimers & Limitation of Liability

  • “As-Is” Service. Umbrellx is provided without warranties of any kind.
  • Liability Cap. To the maximum extent permitted by law, Umbrellx’s total liability to you for all claims is limited to $100.
  • Indirect Damages. We are not liable for any indirect, incidental, or consequential damages.

10. Indemnification

You agree to indemnify and hold harmless the owner of Umbrellx from any claim arising out of your use of the Service or violation of these Terms.

11. Dispute Resolution & Arbitration

  • Informal Resolution. Before filing a claim, you agree to try to resolve it informally by contacting tos@umbrellx.io.
  • Arbitration. If we can’t resolve a dispute informally within 60 days, you and Umbrellx agree to submit the dispute to binding arbitration in Colorado under the Federal Arbitration Act, administered by JAMS (or similar).
  • Small Claims Exception. You may instead bring qualified disputes to small claims court in Colorado.
  • Class-Action Waiver. Any arbitration will proceed on an individual basis; no class or representative actions.

12. Changes to Terms

We may update these Terms from time to time. We’ll post the new version with a revised “Effective Date.” Continued use after changes constitutes acceptance.
